Objective and Purpose of the Assignment

The consultants will be responsible for producing the technical assistance (TA) outputs and deliverables

effectively and on time, consistent with the design and monitoring framework (DMF), and for organizing

and carrying out all TA activities including workshops. They will also assist in the preparation of an

international consultation.

The executing agency will provide overall coordination of the TA, including coordination with government

authorities and other stakeholders, and will assign counterpart staff to assist the consultants. The

implementing agency will coordinate with Asian Development Bank (ADB) on the day-to-day work of the

consultants and will assume administrative responsibility for seminars, workshops, and an international

consultation.

The assignment will provide legal and fiscal policy framework to promote sustainable development of

China PPP, and operational method and approach to realizing PPP with ADB financing in the PRC.


Scope of Work

The team leader will have overall responsibility for the quality and timely delivery of the TA outputs

to ADB and the executing agency; ensuring relevant national and international experience and lessons are

factored into the TA outputs; ensuring completion of all TA activities; and ensuring that team members

work in an effective, efficient, collaborative, and timely manner.


Detailed Tasks and/or Expected Output

In fostering implementation that ensures government ownership of the TA, the team leader will:

(i) implement the TA under the guidance of the executing and implementing agencies and ADB project

officers in accordance with the terms and conditions specified in the TA paper and the agreement between

the government and ADB;

(ii) coordinate and manage the inputs, activities, and outputs of the TA consultants, including

allocating responsibilities to consultants and monitoring their performance to achieve the results

outlined in the DMF on the specified timeframes; initiate and lead discussions of key implementation

issues; and manage TA quality control and quality assurance;

(iii) guide the analytical work, identify key issues, present and analyze alternative responses, and

maximize use of related ADB TA; and ensure that relevant literature and international experience are

identified and factored into the analysis; and explain and justify the responses recommended by the

consultant team;

(iv) prepare high quality report and policy notes concerning operational method and approach to

realizing PPP with ADB financing in the PRC, identify PPP projects into the actual operation stage under

the 'PPP model plus ADB loans in the PRC;

(v) prepare high quality report and policy notes concerning other countries' PPP legislation experience

and PRC local government legislation experiences; especially on nature of current PPP project contracts;

the relationship between PPP mode and government debt; how the PPP model connects with financial, tax

and land policies; the relationship between PPP investment, government investment and enterprise

investment; to support sustainable development of PPP projects in the PRC;


(vi) finalize the TA reports and policy notes;

(vii) assist the executing agency to design their international consultation;

(viii) establish reporting arrangements with the executing agency and ADB; and ensure that they and

other stakeholders are regularly informed of the progress and developments of their work; and

(ix) ensure timely preparation and submission of all TA reports and assist with TA reviews undertaken by

the executing and implementing agencies, and ADB.


Minimum Qualification Requirements

The team leader must have expertise, extensive experience, and in-depth knowledge of public-private

partnerships (PPPs) related laws and regulations in the PRC. A solid understanding of the international

experience with PPP, the legal environments for PPP in various countries and the PRC, and national PPP

law legislation status is also required. The team leader must have (i) at least 15 years of relevant

experience; (ii) at least a bachelor's degree or higher qualification in law, finance, economics,

management, or other relevant fields; (iii) proficient in written and spoken English is essential; (iv)

has produced knowledge products of international standard is strongly preferred; (v) project experience

with 'PPP model plus ADB loans in the PRC is required; and (vi) participation in national PPP law

preparation experience in the PRC is desirable.
